1. Introduction

Welcome to Repandi. These Terms of Service ("Terms") govern your access to and use of the Repandi website, mobile applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

Repandi is an AI-powered real estate prospecting platform that provides marketing automation, analytics, and other tools designed to help real estate professionals grow their business. These Terms constitute a legally binding agreement between you and Repandi Inc. regarding your use of the Service.

2. Account Terms and User Obligations

2.2 Professional Conduct

As a real estate prospecting tool, Repandi is designed to be used by real estate professionals in accordance with applicable real estate laws, regulations, and ethical standards. You agree to use the Service in compliance with:

All applicable real estate licensing laws in your jurisdiction.
Fair housing laws and anti-discrimination regulations.
Data privacy laws regarding consumer information.
Professional standards of conduct established by real estate associations and regulatory bodies.

3. Service Description and Usage Rights

Repandi provides an AI-powered real estate prospecting and marketing platform with the following key features:

Property Analysis: AI-driven analysis of real estate properties including market valuations, investment potential, and comparable listings.
Lead Generation and Management: Tools to identify, capture, and nurture potential real estate clients.
Marketing Automation: Automated marketing campaigns, content generation, and communication workflows.
Performance Analytics: Real-time data visualization and reporting on prospecting and marketing performance.
Team Collaboration: Tools for real estate teams to coordinate activities and share insights.
Property Mapping: Geographic visualization and analysis of real estate market data.

3.1 License Grant

Subject to these Terms, Repandi grants you a non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes as a real estate professional or organization, solely as permitted by the features of the Service. This license is limited to the subscription plan you have purchased.

3.2 Usage Limitations

Your use of the Service may be subject to limitations, including but not limited to:

Number of users permitted on your account.
Number of properties that can be analyzed or managed.
Number of marketing campaigns or automations that can be active.
Volume of data storage and processing.
API request frequency and volume.

These limitations vary by subscription plan. Exceeding these limitations may require upgrading your subscription or may result in additional charges.

4. Payments and Subscription Terms

Repandi offers various subscription plans with different features and pricing. By selecting a paid plan, you agree to pay the subscription fees indicated for that plan. Payments are processed securely through our payment processors.

Unless otherwise stated:

Subscription fees are charged at the beginning of each billing period.
Subscriptions automatically renew until canceled.
You may cancel your subscription at any time through your account settings or by contacting our customer support.
Refunds are provided in accordance with our refund policy.

Repandi reserves the right to change subscription fees upon reasonable notice. Such notice will be provided via email or through the Service. Continued use of the Service after the fee change constitutes your acceptance of the new fees.

5. Intellectual Property Rights

The Service and its original content (excluding content provided by users), features, and functionality are owned by Repandi Inc. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.1 Repandi's Intellectual Property

The Repandi name, logo, product names, and all related names, logos, product and service names, designs, and slogans are trademarks of Repandi Inc. or its affiliates. You may not use these marks without our prior written permission.

All algorithms, analytical methodologies, user interfaces, and technological processes used by the Repandi platform remain the exclusive property of Repandi Inc. You are not granted any right or license to use, modify, or create derivative works based upon these proprietary elements.

5.2 User-Generated Content

You retain ownership of any intellectual property rights that you hold in content that you create, upload, or store through the Service. By uploading or sharing content through the Service, you grant Repandi a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purposes of providing and improving the Service.

You represent and warrant that:

You own or control all rights in the content you provide through the Service.
All of your content is accurate and does not violate these Terms.
Your content does not infringe or violate any third party's intellectual property or other rights.

6. Data Processing and Privacy

Repandi collects and processes information about you and your use of the Service as described in our Privacy Policy. By using the Service, you consent to such processing and you represent and warrant that all data you provide is accurate.

When you input, upload, or otherwise provide information about real estate properties or clients, you represent that you have the legal right to use such information and to provide it to Repandi for processing.

6.1 User Data

You maintain ownership of your data. However, by using our Service, you grant Repandi a license to use, process, and analyze your data to:

Provide and improve the Service.
Develop new features and services.
Create aggregated, anonymized insights and statistics.
Train and improve our artificial intelligence systems.

6.2 Data Security

Repandi implements reasonable security measures to protect your data. However, no system can guarantee complete security. You acknowledge that you provide your information at your own risk. We will notify you of any security breach in accordance with applicable laws.

7. Limitation of Liability

To the maximum extent permitted by law, Repandi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, or business opportunities, resulting from your use of the Service, regardless of the theory of liability.

In no event shall Repandi's total liability to you for all claims exceed the amount you paid to Repandi during the 12 months preceding the event giving rise to the liability, or $100 if you have not made any payments.

The limitations of liability in this section apply to all claims, whether based on warranty, contract, tort, or any other legal theory, and whether or not Repandi has been informed of the possibility of such damage.

7.1 Accuracy of Information

While we strive to provide accurate real estate data and analytics, Repandi does not guarantee the accuracy, completeness, or timeliness of any information provided through the Service. The Service may include property valuations, market analyses, and other predictive insights generated by our algorithms. These should be considered estimates only and should not be relied upon as definitive valuations for financial, investment, or legal decisions.

You understand and agree that:

Repandi is not a licensed real estate appraiser or financial advisor.
The information provided through the Service is not a substitute for professional advice.
You should verify all information through independent sources before making real estate decisions.

8. Termination and Account Responsibilities

Either party may terminate these Terms at any time for any reason. Repandi may terminate or suspend your account immediately, without prior notice, if you breach these Terms.

Upon termination:

Your right to use the Service will immediately cease.
You will lose access to any content or data stored in your account.
Any outstanding payment obligations will remain due.

8.1 Data Retention and Deletion

Following termination, we may retain your data for a limited period as required by law or for legitimate business purposes. You may request deletion of your data by contacting our support team, subject to our legal obligations and technical capabilities.

We recommend that you export any valuable data before terminating your account, as we may not be able to recover your data once it has been deleted.

8.2 Survival

All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. General Provisions

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Dover, Delaware.

9.2 Dispute Resolution

In the event of any dispute arising out of or relating to these Terms, the parties shall first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration conducted by a single arbitrator in accordance with the rules of the American Arbitration Association.

9.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

9.4 Entire Agreement

These Terms constitute the entire agreement between you and Repandi regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
